API Data License

"API" means the CrowdWisdom Signals API, documented at https://api.crowdwisdomtrading.com/docs.

"Data" means all data, signals, scores, predictions, consensus metrics, and related content made available through the API, in any form.

"Derived Data" means any data, metric, score, model output, or work created by the Client that is based on, incorporates, or is derived from the Data.

"Client Platform" means one production product, application, or website operated by the Client under the Client's own brand, together with the staging, development, and internal systems used solely to operate that same product.

"End Users" means the Client's own direct customers who access the Client Platform under the Client's own terms.

Subject to an active paid API subscription and to these API Terms, we grant the Client a limited, non-exclusive, non-transferable, non-sublicensable, revocable license during the subscription term to: (a) access the API and use the Data within a single Client Platform for the Client's own business purposes; and (b) display the Data to End Users within that same Client Platform as described in Section 3. No other rights are granted. All rights, title, and interest in the Data remain with Tsuroni LTD.

Single-place limit. One API subscription licenses one Client Platform. Additional products, brands, websites, or separately deployed customer-facing systems require a separate API subscription or a written multi-site license from us. Up to five (5) live API keys may be created solely for that same licensed Client Platform (for example production, staging, development, and key rotation). Keys are not additional licenses and may not be used to supply Data to another product, customer, or third party.

The Client may present the Data to its End Users within the licensed Client Platform under the Client's own brand and visual identity (white-label), as an integrated feature of the Client's own product. A bank or broker showing the Data to its own retail customers inside its own app or website, under its own brand, is permitted use of that single Client Platform.

This right covers display to End Users only and does not include any right to sell, license, or supply the Data itself as a standalone product, feed, file, or API. Where the Data is displayed to End Users, the Client will show a notice substantially as follows: "This data is informational only, is not investment advice, and past performance does not guarantee future results."

The Client will not, and will not permit any third party to:

• (a) sell, resell, rent, sublicense, publish, transmit, or otherwise distribute or make available the Data or any Derived Data to any third party outside the licensed Client Platform, whether for payment or free of charge;
• (b) supply the Data or Derived Data to any data vendor, aggregator, reseller, exchange, or index provider, or include it in any product or service that competes with CrowdWisdom Trading;
• (c) make the Data available through any public or third-party API, bulk download, or file export, other than ordinary on-screen display to End Users within the licensed Client Platform;
• (d) scrape, cache, or store the Data beyond what is technically needed to operate the licensed Client Platform during the subscription term; or
• (e) share API keys, or allow API access by anyone other than the Client's own personnel and systems operating the licensed Client Platform.

Limited exception: the Client may share Data with its own contractors and service providers who are bound by confidentiality obligations no less protective than these API Terms, solely as needed to operate the licensed Client Platform. The Client remains fully responsible for them.

On the licensed Client Platform, the Client may use the Data for any internal business purpose, including analysis, research, scoring, and models. The Client may create and use Derived Data for those purposes. External distribution of the Data or Derived Data remains subject to Section 4.

The Data is informational and educational only. It is not investment, financial, legal, or tax advice, and no advisory or fiduciary relationship is created. The Client will not present the Data as personalized investment advice or as a guarantee of results, and is solely responsible for its own regulatory status and compliance in every jurisdiction where it operates.

API keys (cwt_live_…) authenticate requests to the API only. Keys are shown once at creation and are stored by us as a one-way hash. The Client must keep keys confidential and rotate or revoke them immediately if leaked. We may suspend keys or membership for abuse, usage beyond documented rate limits, key sharing, or use of keys beyond the licensed Client Platform.

The Client accepts these API Terms by checking the required unticked consent box on the API program page or API dashboard before checkout or before a key is issued. We may record the Client's account identifier, timestamp, IP address, and the version of these API Terms that was accepted (currently 2026-09-08). On a material change to these API Terms, we may require re-acceptance before further key creation or rotation.

These API Terms apply for as long as the Client holds an active API subscription or API key. On cancellation or termination of the API subscription: the license ends and live keys are revoked; the Client will stop all use and display of the Data within fourteen (14) days and will delete stored Data and Derived Data, except where retention is required by applicable law. Sections 4, 5, 6, 9, 10, and 11 survive termination.

Unauthorized redistribution of the Data, or use of the Data beyond a single licensed Client Platform, is a material breach of these API Terms. We may suspend API keys immediately upon a reasonable suspicion of breach. The Client acknowledges that monetary damages may be an inadequate remedy for unauthorized redistribution, and that we may seek injunctive relief in addition to any other remedy available to us.

These API Terms supplement the Terms of Use. In case of conflict regarding use of API data, these API Terms control. These API Terms are governed by the laws of the State of Israel, without regard to conflict-of-law principles that would apply the laws of another jurisdiction. Exclusive venue is the competent courts located in Tel Aviv-Yafo, Israel, except where mandatory consumer rules require otherwise, consistent with Section 17 of the Terms of Use.
