Terms of Use

These Terms of Use ("Terms") govern your access to and use of CrowdWisdom Trading's websites, applications, dashboards, newsletters, AI tools, chat or assistant features, and related content and services (collectively, the "Services") operated by Tsuroni LTD ("we," "us," or "our").

By accessing or using the Services, you agree to these Terms and our Privacy Policy (https://www.crowdwisdomtrading.com/privacy). If you do not agree, do not use the Services.

We may update these Terms from time to time. The "Last updated" date at the top reflects the latest version. Material changes will be indicated where required by law. Continued use after changes become effective constitutes acceptance of the updated Terms.

CrowdWisdom Trading provides informational tools, market-related content, collective-intelligence and AI-assisted features, crowd-based predictions, newsletters, and related materials intended for personal, non-commercial use unless we agree otherwise in writing.

Features may include prediction views, research materials, blog content, chat or assistant experiences, and email communications. Specific features may change as we improve the product.

We may modify, suspend, or discontinue any part of the Services at any time, with or without notice, and without liability to you, except where prohibited by applicable law.

You may need an account to access certain features. You agree to provide accurate information and to keep your credentials confidential. You are responsible for all activity under your account.

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services. The Services are not directed at children.

We may suspend or terminate accounts, or restrict access, at our discretion when we reasonably believe it is necessary to protect the Services, other users, or to comply with law.

All content made available through the Services (including insights, predictions, summaries, newsletters, chat outputs, and market-related or AI-generated materials) is for informational and educational purposes only. It does not constitute investment, financial, legal, tax, or professional advice.

Tsuroni LTD is not a broker, dealer, municipal advisor, futures commission merchant, commodity trading advisor, or investment adviser, and we are not registered with any securities, commodities, or financial regulatory authority. We do not provide personalized investment recommendations tailored to your individual circumstances.

No fiduciary, advisory, or client relationship is created between you and us by your use of the Services. Communications through the Services do not create a duty of care or loyalty in your favor.

Trading, investing, and using leverage involve substantial risk. You may lose some or all of your capital. Past performance does not guarantee future results.

Market data, prices, predictions, and AI-generated or crowd-derived outputs may be incomplete, delayed, erroneous, or sourced from third parties. We do not warrant their accuracy, timeliness, or completeness.

You are solely responsible for your investment and trading decisions and for conducting your own due diligence. You should consult licensed professionals (including financial, legal, and tax advisors) before making financial decisions.

You should not rely on the Services as the sole or primary basis for any financial decision.

The Services may include AI-generated or model-assisted outputs, crowd-based predictions, rankings, summaries, and similar features. These outputs are probabilistic and informational, not guarantees of future market behavior.

Such outputs may be inaccurate, incomplete, outdated, or misleading (including due to model limitations, data gaps, or delays). They may not reflect real-time conditions.

We do not guarantee the accuracy, reliability, completeness, or usefulness of any AI-generated or prediction content. You use these features at your own risk.

Third-party data, user-generated inputs, and automated processing may introduce errors. We are not responsible for losses arising from reliance on any output of the Services.

Paid plans, trials, and renewals are described at checkout and in communications we send you. Fees, taxes, and billing cycles depend on the offer you select.

Payments may be processed by third-party providers (for example, PayPro Global or other processors we use). Their terms and privacy practices apply to payment transactions. If there is a conflict between their terms and ours regarding payment processing, their payment terms control for the payment step only.

Unless we state otherwise at checkout or in a separate written offer, fees are non-refundable. This does not limit any statutory rights you may have where refunds are mandatory under applicable law.

You may cancel a subscription in accordance with the cancellation method we provide (for example, through your account or the processor’s customer portal). Unless stated otherwise, cancellation typically takes effect at the end of the current billing period, and you retain access until that period ends.

If we offer a free trial, its duration and conditions will be shown at signup or checkout. When a trial ends, paid features may begin automatically unless you cancel in time as described in the offer.

Content made available through the Services (including text, graphics, logos, software, and compilations) is owned by Tsuroni LTD, its licensors, or contributors and is protected by intellectual property laws.

We grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Services and content for your own non-commercial use in line with these Terms. You may not copy, scrape, redistribute, resell, publicly perform, or create derivative works from our content except as allowed by law or with our prior written consent.

Unauthorized use may result in suspension or termination and may expose you to legal liability.

If you submit content to the Services (including prompts, chat messages, feedback, uploads, or other materials), you retain ownership of your content to the extent you hold rights in it.

You grant Tsuroni LTD a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, display, and otherwise use your content as needed to operate, provide, improve, and secure the Services, and to comply with law. This license lasts for the duration of your use of the Services and as needed thereafter for backups, disputes, and legal compliance.

You represent that your content does not violate law or third-party rights (including intellectual property and privacy). You are responsible for the legality of what you submit.

You agree not to misuse the Services, including by: attempting to gain unauthorized access; interfering with security or performance; using automated means to access or extract data in violation of these Terms or applicable law; harassing others; uploading malware; or using the Services for unlawful purposes.

You agree not to use the Services in violation of applicable securities, commodities, or market-manipulation laws, or to misrepresent outputs as guaranteed returns.

THE SERVICES AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, timely, or free of harmful components. Any reliance on outputs (including content generated by AI or models) is at your own risk.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER Tsuroni LTD, NOR ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR SUPPLIERS, WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, OR FOR TRADING LOSSES, INVESTMENT LOSSES, OR LOSS OF CAPITAL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) FOUR HUNDRED ISRAELI NEW SHEKELS (ILS 400), EXCEPT WHERE PROHIBITED BY LAW.

Some jurisdictions do not allow certain limitations; in those jurisdictions, our liability is limited to the fullest extent permitted.

To the maximum extent permitted by law, you will indemnify and hold harmless Tsuroni LTD and its affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, or your violation of third-party rights.

We may suspend, restrict, or terminate your access to the Services, or close your account, at any time, with or without notice, for any reason, including if we believe you have violated these Terms, if we must comply with law, to address security or fraud risk, or to protect the Services or other users.

You may stop using the Services at any time. Provisions that by their nature should survive (including intellectual property, disclaimers, limitation of liability, indemnity, governing law, and dispute resolution) will survive termination.

We do not guarantee that the Services will be available at all times or free of errors, latency, or outages. The Services may depend on third-party APIs, hosting, data feeds, and networks outside our control.

We may change, suspend, or discontinue any feature or the Services in whole or in part without liability to you, except where prohibited by applicable law.

We are not liable for any failure or delay in performing our obligations under these Terms where caused by events beyond our reasonable control, including natural disasters, war, terrorism, civil unrest, labor disputes, failures of utilities or telecommunications, cyberattacks (other than those caused by our failure to use reasonable security measures), government actions, or failures of third-party providers or infrastructure.

You may not use or export the Services in violation of applicable export control or sanctions laws, including laws of Israel, the United States, the European Union, the United Kingdom, or other relevant jurisdictions.

You represent that you are not located in, ordinarily resident in, or organized under the laws of any jurisdiction that is subject to comprehensive trade embargoes (as defined under applicable law), and that you are not designated on any government list of prohibited or restricted parties. We may refuse or terminate access where required to comply with sanctions or export laws.

17.1 Governing law. These Terms and any dispute or claim arising out of or relating to these Terms, the Services, or their subject matter (including non-contractual disputes) shall be governed by and construed in accordance with the laws of the State of Israel, without regard to conflict-of-law principles that would apply the laws of another jurisdiction.

17.2 Exclusive jurisdiction. Subject to sections 17.3 and 17.4 below, you and Tsuroni LTD irrevocably agree that the competent courts located in Tel Aviv-Yafo, Israel shall have exclusive jurisdiction to settle any such dispute or claim. You waive any objection to the exercise of jurisdiction by those courts and any claim that proceedings have been brought in an inconvenient forum, to the extent permitted by applicable law.

17.3 Informal resolution first. Before initiating any legal proceedings, you agree to contact us at gilad@crowdwisdomtrading.com and to work with us in good faith for at least thirty (30) days to try to resolve the dispute.

17.4 Consumers and mandatory rights. If you are a consumer, nothing in these Terms, including this section, limits or excludes any mandatory rights or remedies available to you under the laws of your country or region of residence where such rights cannot lawfully be waived. Where applicable law gives you the right to bring proceedings in your place of residence, that right remains available to you.

We may assign or transfer these Terms, in whole or in part, without your consent, including in connection with a merger, acquisition, reorganization, or sale of assets. You may not assign or transfer your rights or obligations under these Terms without our prior written consent, except that you may assign to a successor that agrees in writing to be bound, subject to our approval where required by law.

These Terms, together with our Privacy Policy and any additional terms presented at checkout or for specific features, constitute the entire agreement between you and Tsuroni LTD regarding the Services and supersede prior discussions or agreements on the same subject.
